TERMS OF BUSINESS
All invoice values are nett. Payment is due by the 25th of the month following the date of the invoice. No alteration to these terms can be made unless agreed by us in writing before goods are invoiced.
TITLE RETENTION
- Goods supplied by the Seller are at the Buyer’s risk immediately on delivery to the Buyer or into custody on the Buyer’s behalf.
- Property in the goods supplied hereunder will pass to the Buyer when full payment has been received by the Seller for them.
- Until full payment has been received by the Seller, the Buyer shall hold the goods in a fiduciary capacity for the Seller in a manner which enables them to be identified as the goods of the Seller and the Buyer shall immediately return the goods to the Seller upon written request. All the normal incidents associated with a fiduciary relationship shall apply.
- The Buyer’s rights to possession of the goods and to resell them shall cease if circumstances arise which would entitle an administrator, receiver, administrative receiver, liquidato r, or Trustee in Bankruptcy to take possession of any assets held by the Buyer or which would entitle any person to present a petition for winding-up or bankruptcy of the Buyer or if any distress or execution is levied upon any goods in possession of the Buyer.
- The Buyer grants the Seller an irrevocable licence to enter at any time any vehicles or premises owned or occupied by the Buyer or in the Buyer’s Possession for the purpose of repossessing and removing any such goods the property in which has remained in the Seller under the terms hereof. The Seller shall not be responsible for and the Buyer will indemni fy the Seller against liability in respect of damage caused to such vehicles or premises in such repossession and removal being damage it was not reasonably practicable to avoid.
- Notwithstanding paragraph 3 hereof, the Buyer shall be permitted to sell the goods to third parties in the normal course of business. The proceeds of any such sale shall be held by the Buyer separately identified as trust money:- (a) to the extent of the contract price payable by the Buyer to the Seller on trust for the Seller (b) as to the remainder of the re-sale price on trust for the Buyer.
CLAIMS PROCEDURE – LOSS AND DAMAGE OF GOODS
Any claim for shortage or damage against a consignment must be notified, either by fax or in writing, to our sales office within 3 days of receipt of the consignment. This notification must be made in addition to the written notification made on the carrier’s consignment note.
Non receipt of a complete consignment as described on our official invoice must be notified to our sales office within 15 days of the date of invoice.
Any claim which is made but fails to comply with this procedure cannot be accepted.
NOTE: If on receipt of the consignment a full inspection cannot be carried out, the consignment note must be signed UNEXAMINED.
